Rules

1. ONBOARDING AND ELIGIBILITY

  1. Partners must be a legally registered business in the Territory with a valid tax identifier and business address.
  2. No partner may sell until approval of the partner manager.
  3. Partners must complete mandatory RhinoArtisan Sales Certification within 60 calendar days of activation. Training completion is a prerequisite to continue selling. Annual refresher training is mandatory.

2. PARTNER TARGETS AND INACTIVITY

  1. Partners must meet the minimum sales target defined with the channel manager. If a partner fails to meet its quarterly target by 25% or more, or twice in a row, 2Shapes will place the partner on a 60-day remediation plan. Failure to meet the remediation plan results in automatic downgrade of tier or termination.

3. TERRITORY AND SALES BOUNDARIES

  1. Partners may only solicit, market to, and sell to End Users located inside their contracted Territory. All sales outside the Territory require written approval from 2Shapes.
  2. Lead registration for a customer outside the Territory is invalid. If a partner receives an enquiry from outside the Territory they must refer it to 2Shapes or obtain written approval.

4. PRICINGS, DISCOUNTS, PAYMENTS, AND REFUNDS

  1. Partners set final resale prices to End Users.
  2. RhinoArtisan licences sold by partners are perpetual. This must be stated explicitly on quotations and invoices.
  3. Partners must settle chargebacks and payment disputes with End Users themselves. 2Shapes will not be liable for chargeback costs caused by partner negligence.
  4. Refunds will not be issued, but the licence key can be reinitialised to be sold again.
  5. Upgrades or major version releases: partners must follow 2Shapes’ upgrade policy and pricing. Free minor version updates are automatically added by 2Shapes; major upgrades follow a separate pricing schedule.
  6. Licence activation and delivery: partners must obtain licence keys only through the 2Shapes portal or e-store. Manually generated keys or keys obtained by back-channel methods are strictly prohibited.

5. MARKETING, BRANDING, AND COMMUNICATION

  1. All partner marketing materials that use 2Shapes or RhinoArtisan trademarks must use approved assets from the partner portal and must follow the published brand guidelines.
  2. Co-branded materials, press releases, case studies, whitepapers, and advertisements require written approval from 2Shapes prior to publication. Approval requests must be submitted to the channel manager.
  3. Use of the RhinoArtisan® trademark must show the ® symbol on first mention. Do not alter the trademark or logos.
  4. Partners must maintain a public webpage for RhinoArtisan that includes up-to-date product information, the partner’s authorized reseller statement, and accurate contact information. 2Shapes reserves the right to request corrections to public pages.
  5. Partners must not register domains that contain “2Shapes” or “RhinoArtisan” or confusingly similar names.
  6. Partners must not use paid search keywords or meta-tags that could confuse customers into thinking they are on 2Shapes.com or RhinoArtisan.com unless a separate co-marketing agreement exists.
  7. Partners may not make public statements about 2Shapes product roadmap, pricing changes, M&A, investments, or any confidential matter without written authorization.

6. ANTI-BRIBERY, ANTI-CORRUPTION, AND ETHICS

  1. Partners must comply with applicable anti-bribery laws. Partners must not offer, promise or give bribes, kickbacks, or improper gifts to secure business.
  2. Partners must maintain a published gift and hospitality limit and log any gifts above the threshold, with immediate notification to 2Shapes.
  3. Partners must promptly disclose any potential conflict of interest (for example hiring a 2Shapes employee or close family relationships with a 2Shapes representative).

7. INTELLECTUAL PROPERTY AND TRADEMARK USE

  1. Partners must use only the approved versions of RhinoArtisan and 2Shapes logos and trademarks from the partner asset repository. Do not alter company marks or create derived marks.
  2. Domains, product names, and marketing that could create confusion with 2Shapes or RhinoArtisan must be avoided. 2Shapes may require the partner to transfer or discontinue confusing branding within 30 days.
  3. Partners must notify 2Shapes in writing of any suspected third-party infringement of RhinoArtisan trademarks within five (5) business days of becoming aware.

9. AUDITS, RECORDS, AND COMPLIANCE CHECKS

  1. 2Shapes shall have the right to audit partners’ sales records, demo logs, EULA acceptance records, and compliance with branding and pricing rules. 2Shapes will give 30 calendar days’ prior written notice for a standard audit. For suspected fraud or IP misuse 2Shapes may audit with shorter notice.
  2. Partners must provide requested records within fifteen (15) business days of audit notice. Failure to comply will be treated as a material breach and may trigger suspension.
  3. Audit scope includes partner invoices, purchase orders, customer contracts, demo records, and portal logs. 2Shapes will treat financial and personal data as confidential and will not publish audit findings.

10. REPORTING REQUIREMENTS

  1. Sales reporting cadence: partners must submit sales and pipeline reports to the channel manager as often as requested.
  2. The partner and channel manager will set a recurrent meeting, as well as a quarterly feedback session.

11. EVENTS SPONSORSHIPS AND PARTNER-LED CAMPAIGNS

  1. Partners must not represent themselves as 2Shapes employees or claim 2Shapes sponsorship without written approval.
  2. Partners must register at least 30 days in advance for any event where RhinoArtisan is featured. 2Shapes reserves the right to attend, co-host or decline co-participation.
  3. Any giveaways or merchandise bearing RhinoArtisan or 2Shapes branding require a written merchandising agreement. Unauthorized merchandise is prohibited and may be subject to seizure.

12. SUSPENSION AND TERMINATION

  1. Enforcement steps for non-compliance:
    • First infraction: written warning with corrective actions and a 30-day remediation window.
    • Second infraction within 12 months: probation for 60 days.
    • Third infraction or a single material breach (for example IP misuse, fraud, bribery): immediate suspension pending investigation and potential termination for cause.
  2. 2Shapes reserves the right to suspend portal access, demo licence issuance, or delivery of licences immediately if there is a reasonable suspicion of fraud, IP misuse, or legal non-compliance.
  3. Partners may be required to return or delete all partner material, including demo materials, demo licences, and confidential documents within seven (7) business days after suspension or termination.
  4. Refunds or compensation for lost sales due to suspension/termination are not payable.

13. COMPETITOR SALES AND EXCLUSIVITY RULES

  1. Partners may not actively market or resell directly competitive products in the Territory without prior written approval. “Actively market” includes running campaigns, stocking, or promoting a competing product.
  2. The partner must disclose any ownership, board membership, or paid advisory roles with competitors before onboarding. Non-disclosure is ground for termination.

14. CHANGES TO RULES

  1. 2Shapes may amend these rules. Changes become effective 30 calendar days after publication in the partner drive unless urgent safety, legal, or compliance changes are required, in which case changes may be effective sooner with notice.
  2. Partners must acknowledge receipt of rule changes within seven (7) business days. Failure to acknowledge does not excuse compliance. Continued non-compliance after the effective date is a breach.

15. MISCELLANEOUS OPERATIONAL RULES

  1. Partners must ensure all employees who sell or support RhinoArtisan are trained and listed in the partner portal.
  2. Partners must use the designated partner portal for ordering, pricing confirmation, licence delivery, and support. Transactions outside the portal are not guaranteed and may be voided.
  3. Partners must not make public comparisons that are factually incorrect about RhinoArtisan or competitors. Comparative advertising must be documented and approved.
  4. Partners must have a backup plan for licence delivery (for example, backup staff with portal access) to ensure continuity in case of individual absence.
